§ 1 Scope and Contracting Parties
(1) These General Terms and Conditions (“GTC”) apply to all services, contracts and offers of PrüfXpert GmbH, Kügeliloostrasse 99, 8046 Zurich (“PrüfXpert”), towards its clients (“Client”).
(2) The GTC apply in the version valid at the time the contract is concluded. Deviating or conflicting terms of the Client shall only apply if expressly agreed to in writing by PrüfXpert. Individually agreed provisions take precedence over these GTC (Art. 2 Swiss Code of Obligations).
§ 2 Conclusion of Contract
(1) Unless otherwise stated, offers from PrüfXpert are valid for 30 days from the date of issue and are non-binding.
(2) The contract is concluded upon written or electronic order confirmation by PrüfXpert, through a binding appointment arrangement, or through the commencement of the service. Online bookings made via www.pruefxpert.ch constitute binding offers by the Client, which are accepted through confirmation by PrüfXpert.
§ 3 Scope of Services
(1) The services described relate to the periodic inspection, acceptance inspection, final inspection or comparable safety-related testing of the specified electrical installations in accordance with the Swiss Low-Voltage Installations Ordinance (NIV, SR 734.27) and the applicable standards of the Swiss Low-Voltage Installations Standard (NIN SN 411 000).
(2) The scope of services includes in particular: visual inspection, measurement-based testing, preparation of the inspection or defects report, issuance of the Safety Certificate (SiNa) and its transmission to the responsible grid operator (Art. 37 NIV).
(3) PrüfXpert acts as an independent inspection body within the meaning of Art. 6 NIV and does not itself carry out any installation, repair or remediation work. The remediation of any identified defects lies solely with the owner or operator of the installation and must be carried out by a licensed electrical installer. The inspection does not replace the operator’s obligation to maintain and remediate the installation.
(4) The scope of the owed services is determined by the offer or the order confirmation. Services not expressly agreed upon — in particular follow-up inspections, additional measurements, permit or documentation work — are charged additionally on a time-and-material basis.
§ 4 Client’s Duty to Cooperate and Grant Access
(1) The Client ensures that PrüfXpert has unhindered access to all rooms, distribution boards, meter cabinets, sub-distribution boards and relevant operating equipment to be inspected at the agreed appointment.
(2) The Client provides PrüfXpert — before or at the start of the inspection — with available schematics, installation plans, previous reports, prior Safety Certificates and any other documents required for the inspection.
(3) If an inspection cannot be carried out in whole or in part due to lack of access, incomplete documents or other reasons attributable to the Client, PrüfXpert is entitled to charge the full agreed price. Additional expenses for rescheduled appointments will be billed on a time-and-material basis.
§ 5 Prices, VAT and Payment Terms
(1) All prices are quoted in Swiss Francs (CHF) and include statutory value added tax where services are rendered to consumers (Swiss Price Disclosure Ordinance, PBV).
(2) Invoicing takes place upon completion of the inspection or issuance of the report. Invoices are payable within 30 days of the invoice date without deduction.
(3) Objections to invoices must be notified in writing within 5 days of receipt. After this period, the invoice is deemed to be accepted.
(4) The Safety Certificate (SiNa) will be issued and transmitted only after full payment of the invoice, provided that the inspected installations are free of defects or that any identified defects have been properly remedied.
(5) In the event of late payment, PrüfXpert is entitled to charge default interest of 5% p.a. pursuant to Art. 104 Swiss Code of Obligations as well as reasonable reminder fees of CHF 20 per reminder. Further default and collection costs remain reserved.
§ 6 Cancellation and Rescheduling
(1) The Client may reschedule or cancel an agreed appointment free of charge up to five (5) working days before the scheduled date.
(2) For cancellations or rescheduling between two (2) and five (5) working days before the scheduled date, a processing fee of 30% of the order value, but at least CHF 100, will be charged.
(3) For cancellations within 48 hours of the scheduled date or no-shows, the full order value will be invoiced.
§ 7 Performance Deadlines and Force Majeure
(1) Agreed appointments and deadlines are binding unless expressly agreed otherwise.
(2) Events of force majeure (in particular natural events, pandemics, governmental measures, power outages, strikes, extended illness of the responsible inspector) and circumstances for which PrüfXpert is not responsible entitle PrüfXpert to postpone performance for the duration of the hindrance. The Client will be informed without delay.
§ 8 Reporting, Acceptance and Notice of Defects
(1) Upon completion of the inspection, PrüfXpert provides the Client with an inspection report and — in the case of a defect-free finding or after documented remediation of defects — the Safety Certificate (SiNa).
(2) Obvious defects in the report (e.g. typographical errors, incomplete information) must be notified in writing within 10 days of delivery. After this period, the report is deemed approved. Mandatory provisions of the Swiss Code of Obligations regarding hidden defects remain reserved.
(3) If defects are identified during the inspection, their proper remediation is the responsibility of the owner or operator of the installation. Any follow-up inspection will be invoiced separately on a time-and-material basis or at an agreed flat rate.
§ 9 Warranty and Liability
(1) The inspection of electrical installations is an assessment of the condition at the time of inspection (a snapshot). PrüfXpert is not liable for defects that arise after the inspection, are attributable to subsequent interventions by third parties, or fall outside the agreed scope of inspection.
(2) PrüfXpert is liable for direct damages resulting from slight negligence up to a maximum of the order value, but no more than CHF 100,000 per event of damage. Liability for indirect damages, consequential damages, loss of profit and production losses is excluded to the extent permitted by law.
(3) Mandatory liability for intent, gross negligence, personal injury and liability under the Swiss Product Liability Act (PrHG) remains expressly reserved (Art. 100 Swiss Code of Obligations).
(4) Compliance with the inspection periods pursuant to the NIV (Annex) and the arrangement of periodic inspections are the sole responsibility of the owner or operator of the installation.
§ 10 Transmission of the Safety Certificate and Data Protection
(1) The Safety Certificate (SiNa) is transmitted to the responsible grid operator in accordance with Art. 37 NIV. The Client acknowledges that this transmission is a statutory obligation of PrüfXpert and is not subject to the Client’s consent.
(2) The processing of personal data takes place in accordance with the revised Swiss Federal Act on Data Protection (revFADP). Details are set out in the separate Privacy Policy.
§ 11 Retention and Intellectual Property
(1) Inspection reports, measurement protocols and Safety Certificates are archived by PrüfXpert for at least 20 years (industry standard per Electrosuisse recommendation). The Client is obliged to retain its copy until the next periodic inspection and to present it to the grid operator on request.
(2) All documents, reports, plans and measurement protocols prepared by PrüfXpert remain the intellectual property of PrüfXpert. The Client receives a non-transferable right of use for the contractually agreed purpose. Passing on to third parties — except authorities, grid operators and insurers — requires the written consent of PrüfXpert.
§ 12 Confidentiality
PrüfXpert and the Client mutually undertake to treat all technical and commercial information obtained within the scope of the contractual relationship as confidential and not to pass it on to third parties. This obligation also continues after termination of the contract. Statutory disclosure and reporting obligations remain reserved.
§ 13 Amendments to the GTC
PrüfXpert reserves the right to amend these GTC at any time. Ongoing contracts are governed by the conditions in force at the time of contract conclusion. The current version is available at www.pruefxpert.ch.
§ 14 Severability
Should individual provisions of these GTC be or become wholly or partially invalid, void or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a legally valid provision that comes closest to the economic purpose of the original provision.
§ 15 Applicable Law and Place of Jurisdiction
(1) The place of jurisdiction is the registered office of PrüfXpert GmbH, Zurich. Swiss law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) For consumers, the mandatory rules on jurisdiction pursuant to Art. 32 et seq. of the Swiss Code of Civil Procedure (ZPO) apply.
